Article 2 – Scope of Services
These Terms and Conditions govern all legal services provided by the Firm, including:
- In-person and online legal consultations
- Legal assistance and court representation
- Drafting of contracts and legal documents
- National and international business legal advisory
- Digital legal services
All services are performed in accordance with:
- Tunisian legislation
- The professional and ethical rules governing the legal profession
- Applicable international standards where necessary
Article 3 – Formation of the Mandate
Any engagement shall be formalized through:
- A signed fee agreement; or
- Written acceptance by email; or
- Payment confirming an online consultation.
The Firm reserves the right to refuse any engagement, particularly in cases of conflict of interest.
Article 4 – Fees and Payment
Fees are determined by:
- A written fee agreement;
- An accepted quotation;
- Published website rates.
Accepted payment methods include:
- National or international bank transfer
- Secure online payment (Stripe or equivalent provider)
- Any other means compliant with Tunisian regulations
Payments comply with:
- Tunisian tax regulations
- Foreign exchange regulations
- International anti-money laundering obligations
The Firm may require an advance payment (retainer).
Late payment may result in suspension of services.
Article 5 – Conflict of Interest
Prior to accepting any mandate, the Firm conducts a conflict of interest verification.
If a conflict is identified, the engagement shall be refused or terminated in accordance with applicable professional rules.
Article 6 – Anti-Money Laundering (KYC)
In compliance with Tunisian legislation on anti-money laundering and counter-terrorism financing, the Firm may:
- Request identification documents;
- Refuse a mandate in case of legitimate doubt;
- Report suspicious transactions in accordance with applicable law.
Article 7 – Online Consultations
Online consultations:
- Require prior payment;
- Do not constitute court representation unless separately agreed;
- Are protected by professional secrecy;
- Are based solely on the information provided by the client.
The Firm shall not be held liable for incomplete or inaccurate information provided by the client.
Article 8 – Liability
The Firm is bound by an obligation of means.
Its liability:
- Is strictly limited to the expressly assigned mandate;
- Shall not exceed the amount of fees paid, except in cases of gross negligence or willful misconduct;
- Excludes indirect damages or loss of profits.
Article 9 – Intellectual Property
All legal consultations, opinions, memoranda, contracts, and documents prepared by the Firm remain its intellectual property until full payment of fees.
Any reproduction or disclosure to third parties without prior written authorization is strictly prohibited.
Article 10 – Non-Solicitation
The Client agrees not to recruit or directly solicit any employee or collaborator of the Firm during the engagement and for a period of twenty-four (24) months following its termination.
Article 11 – Force Majeure
The Firm shall not be held liable for failure or delay resulting from force majeure as defined under Tunisian jurisprudence (unforeseeable, irresistible, and external events).
Article 12 – Data Protection
Personal data is processed in accordance with Law No. 2004-63 of July 27, 2004 relating to the protection of personal data.
The Firm undertakes to:
- Ensure confidentiality;
- Implement appropriate security measures;
- Complete, where required, formalities before the National Authority for Personal Data Protection (INPDP).

Article 13 – Governing Law and Jurisdiction
These Terms are governed by Tunisian law.
Any dispute shall fall under the exclusive jurisdiction of the Tunisian courts.
